Limited Liability Company Individual Enterprises Manufacturing Cooperatives Other economic agents
Limited Liability Companies (LLCs), Individual Enterprises, Manufacturing Cooperatives, and other economic agents operate within the general commercial framework. Where the founders are not non-profit organizations, the primary purpose of activity is the generation of profit. In some cases, non-profit organizations also establish LLCs purely for profit, directing the generated income toward their own activities and social objectives.
State registration as the chosen form of enterprise is mandatory. Limited Liability Companies that are not established by non-profit organizations and do not hold the status of a Social Enterprise or an Integration Social Enterprise operate on general grounds in accordance with general laws and regulations.
The legal basis for this organizational form is provided by Law No. LP845/1992 of January 3, 1992 on Entrepreneurship and Enterprises and the Tax Code of the Republic of Moldova. Economic activities subject to licensing under the law may only be conducted after obtaining the relevant license. LLCs have the right to engage in any lawful activity, except those allowed exclusively to State Enterprises, in accordance with Article 10, paragraph 3 of Law No. LP845/1992.
Financial Support
Start-up entrepreneurs and enterprises, as well as those seeking to develop and diversify their economic activities, may receive grants from the Small and Medium Enterprise Development Organization or other donor organizations as part of various development programs and projects.
Tax Relief and Social Security Contributions
General regulations apply to both tax obligations and social security contributions, with no specific additional provisions or exemptions available for LLCs operating outside the SE or ISE framework.
Public Procurement
The law allows LLCs to participate in government contracts and public procurement procedures on general terms, without specific advantages or preferential treatment.
Educational and Informational Support
LLCs may receive informational support from government bodies or non-profit institutions, such as the Small and Medium Entrepreneurship Development Organization, through seminars, training sessions, and experience exchange trips abroad organized by NGOs and their sponsors.
